Terms of Service

1. Agreement

These Terms of Service (the "Terms") govern your access to and use of Pinvale (the "Service"), provided by Mesquite Dev LLC, an Arizona limited liability company ("Pinvale", "we", "us", or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

Pinvale is a customer relationship management (CRM) tool. We provide features for storing leads, managing a sales pipeline, importing contact data, viewing leads on a map, and scheduling events and tasks. Features may change at our discretion.

3. Accounts

To use most features you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your password and for all activity under your account. You must be at least 18 years old to create an account.

4. Subscription, Billing, and Auto-Renewal

Pinvale offers tiered subscription plans (Solo, Team, and Scale) billed monthly or annually in USD through Stripe. The price for the plan you choose is shown on the billing page and again at Stripe Checkout before any charge.

  • Free plan. Pinvale offers a free tier with a capped workspace (up to 100 leads, 1 user). No card required, no time limit. The free plan does not include a trial because there is no charge to start.
  • Paid plan trial. When you add a payment method on a paid plan, you start a 14-day free trial. You will not be charged during the trial.
  • First charge. At the end of your 14-day trial we will automatically charge the price of your selected plan to your card and your subscription will become active.
  • Auto-renewal. Your subscription will automatically renew at the same price on the same interval (monthly or annually) until you cancel. You authorize us to charge your payment method on each renewal date without further notice (subject to applicable advance-notice requirements).
  • Plan changes. You can change plans at any time from the billing page. Upgrades take effect immediately; downgrades take effect at the end of your current billing period.
  • Price changes. If we change the price of your plan, we will notify you by email at least 30 days before the new price takes effect, and you may cancel before the new price applies.

5. Cancellation

You can cancel your subscription at any time from the Settings → Account page or directly in the billing portal. Cancellation takes effect at the end of your current billing period. You will retain full access until that date, then enter a 3-day grace period with full access, followed by a 3-day read-only window. After that, your account is locked. Cancellation requires no more steps than signup.

6. Refunds

Subscription fees are non-refundable except where required by law. We do not provide refunds or credits for partial months of service, unused features, or downgrades.

6a. EU and UK consumer right of withdrawal

If you are a consumer resident in the European Union or the United Kingdom, you have a statutory right to withdraw from this contract within 14 days of starting your paid subscription, without giving any reason. To exercise the right, email legal@pinvale.com with the subject line EU withdrawal within 14 days; we will refund the price you paid within 14 days of receiving your notice.

By starting to use the paid Service during the 14-day period (using a feature gated to paid plans, or completing any action that requires the paid tier), you expressly request immediate performance of the Service and acknowledge that you lose your right of withdrawal once performance is complete. Until you take such an action, your withdrawal right remains intact.

California, New York, and other US state subscription laws are addressed in Section 4 (Subscription, Billing, and Auto-Renewal) above; the annual reminder notice for /yr plans is sent by email between 3 and 21 days before each renewal.

7. Failed Payments

If a charge fails, we will retry through Stripe's standard dunning process. During this period your account remains accessible for 3 days, then becomes read-only for 3 days, then is locked. Your data is preserved for 90 days after lockout, after which it may be permanently deleted.

8. Acceptable Use

You agree not to: (a) use the Service to violate any law; (b) upload malicious code or attempt to disrupt the Service; (c) attempt to access another user's account or data without authorization; (d) resell or sublicense the Service without our written permission; (e) use the Service to send spam or unsolicited commercial messages.

9. Your Data

You retain all rights to the data you upload (leads, notes, events, tasks, etc.). You grant us a limited license to host, copy, and display that data solely to operate the Service for you. You can export your data at any time.

10. Termination

We may suspend or terminate your account if you violate these Terms, fail to pay, or use the Service in a way that materially harms us or other users. You may delete your account at any time from Settings → Delete account, which permanently removes your data immediately.

11. Disclaimers

The Service is provided "as is" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

12. Limitation of Liability

To the fullest extent permitted by law, our total liability arising out of or relating to these Terms or the Service will not exceed the greater of $50.00 USD or the amount you paid us in the 12 months preceding the claim.

13. Changes

We may update these Terms from time to time. If we make material changes, we will notify you by email or in-app notice at least 14 days before the changes take effect. Continued use after the effective date constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of Arizona, USA, without regard to conflict of laws principles. Any dispute will be resolved in the state or federal courts located in Maricopa County, Arizona.
